Quorum to conduct business is determined by Pre-registration of all Club Presidents and Vice Presidents Education.   Voting Ballots will be prepared for those who register by the 5:00 PM  Friday, September 20th deadline.

If you use your employment address as your email address and will not have access to it on  Saturday, please re-register with the e-address you will  have access to and notifiy credentials chair beth[at]nullbethboaz.com that you’ve made a change.  This must be done by the 5:00 PM Friday, September 20th deadline. 

The District Executive Committee members are also members of the District Council. Your pre-registration is requested for the meeting so that a ballot can be sent to you.

The District 26 Annual Business meeting is an important opportunity for you to direct the future of the District, including selecting the officers for the July 1, 2024-June 30, 2025  Toastmasters year.

The Voting members of the District Council are composed of Club Presidents, Vice Presidents Education, Area and Division Directors, the District Finance Manager, the District’s Public Relations Manager, the District Administration Manager, the Immediate Past District Director, the Club Growth Director, the Program Quality Director and the District Director.

April 20 at 10 AM online only via Zoom       |  Your Action is Required – Annual Business Meeting Pre-Registration

  •  Each club in good standing (Minimum 8 paid members) automatically has two (2) votes for the District Council meeting.
  • Quorum is calculated ahead of time based on the number of  Club Presidents and Vice Presidents Education [ members in good standing] who pre-register to attend the meeting.
  • A Club President or Vice President Education may carry a maximum of two (2) votes, regardless of the number of clubs they serve. 
  • The Club President or Vice President Education may carry one or both club votes at the discretion of the club membership, but both need to pre-register so that a quorum can be calculated. 
  • Please note that proxies are not allowed.  Votes not represented by either the Club President or Vice President Education cannot be carried by a club member or another club officer.  Unrepresented votes are lost at the District Council meeting. 
  • The email address that you use in registering for this meeting must be accessible on Saturday, April 20th to receive your voting ballot.
  • The meeting agenda and all documents will be available on April 6th for advanced review.

 A quorum is required.  Please pre-register here so that the District can establish a quorum to conduct business. Quorum is determined by the registration of one-third of Club Presidents and Vice Presidents Education.

District Executive Committee and District Council Meetings

The District Executive Committee (DEC)  is charged with reviewing and approving the District Success Plan, approving the budget, overseeing the financial operations of the District, recommending the assignment of clubs to Areas and Divisions, and reviewing recommendations/reports of district committees (including the audit committee). The District Executive Committee meets at least four (4) times each program year.  

The District Council (DC) serves as the administrative governing body of the District, operating with powers delegated to the District council by the Board of Directors of Toastmasters International. The District council conducts all business of the District, assumes responsibility for the payment of all debts incurred in the presentation of District council meetings and other District functions, and does not assess or impose any financial obligation on any club or member of a club.

The District Council is required to hold at least two meetings each year. One of these meetings, known as the Annual Meeting of the District Council, is conducted either online or hybrid, and takes place between March 15 and June 1. All other meetings are conducted online. The first online meeting must take place no later than September 30 to approve the District budget and confirm District leader appointments. The notice of electronic vote is sent in writing to all District Council members four (4) weeks in advance of the meeting, and the agenda is posted at least 14 days in advance.

A quorum consists of one-third of all eligible Club Presidents and Vice Presidents Education. A majority of the votes cast is required to pass a motion.

If you are a District Officer – Area Director, Division Director, or Core Team Officer, you will be part of both the DEC and the DC. 

 

Proxies for District Council meetings are not permitted. The Club President and/or Vice President Education of any member club may vote on behalf of the club as its representative. Either club officer may carry the club’s two (2) votes or each of these club officers may carry one (1) vote, as determined by the club membership. The representative from any Member Club in good standing is entitled to a maximum of two (2) votes. District Executive Committee members are entitled to one (1) vote and may cast up to two (2) additional votes as a Club President and/or Vice President Education.
